PUBLIC OFFER FOR TECHNICAL SUPPORT SERVICES
This Public Offer (hereinafter referred to as the "Offer") is an official proposal from Shapley Solutions DMCC, a company registered under the laws of the United Arab Emirates, having its registered address at Unit No: 69, DMCC Business Centre, GLT, Dubai, UAE, TRN 104 093 841 500 003 (hereinafter referred to as the "Service Provider"), addressed to any legal entity or individual entrepreneur (hereinafter referred to as the "Client"), to conclude a contract for the provision of Technical Support Services on the terms and conditions set forth below.

1. SUBJECT OF THE OFFER
1.1. The Service Provider shall provide the Client with technical support services ("TS Services") related to hardware and software systems for data recovery (e.g., PC-3000 systems), including but not limited to:
  • remote diagnostics;
  • software updates;
  • configuration assistance;
  • problem resolution and consultations.
1.2. The scope and duration of services are defined in the relevant invoice and/or purchase order. Unless otherwise specified, technical support is provided for a period of one (1) calendar year.

2. ACCEPTANCE OF THE OFFER
2.1. This Offer shall be considered accepted by the Client upon the full prepayment for the service as stated in the corresponding invoice issued by the Service Provider.
2.2. Upon acceptance, the Client shall be deemed to have entered into a legally binding agreement with the Service Provider on the terms set out in this Offer.

3. TERMS OF SERVICE
3.1. Services are provided remotely and may include communication via email, chat, video conferencing, or remote access tools.
3.2. Services are rendered during the business hours of the Service Provider unless agreed otherwise.
3.3. The Client is responsible for ensuring access to all necessary hardware and software to facilitate the provision of TS Services.
3.4. Support services are limited to the equipment specified in the invoice (e.g., PC-3000 Express Ultimate System SN:566; Portable III SSD SN:3 594).

4. PAYMENT TERMS
4.1. Services are rendered on a 100% prepayment basis.
4.2. All bank charges and transaction fees (including those of intermediary banks) must be borne by the Client. The payment instruction must specify "OUR" in the "Detail of Charges" field.
4.3. The payment currency is EUR, unless agreed otherwise. Any exchange rates provided in invoices are for informational purposes only.

5. LIABILITY AND WARRANTY
5.1. The Service Provider shall not be liable for any direct or indirect damages arising from the improper use of the supported equipment or failure to follow recommendations.
5.2. The Service Provider does not guarantee that the use of TS Services will resolve all issues or that the systems will function without interruptions or errors.

6. GOVERNING LAW AND DISPUTE RESOLUTION
6.1. This Offer and any agreements concluded pursuant to it shall be governed by the laws of the United Arab Emirates.
6.2. All disputes arising out of or in connection with this Offer shall be resolved through negotiations. If no resolution is reached, disputes shall be submitted to the competent courts of the UAE.

7. FINAL PROVISIONS
7.1. The Service Provider reserves the right to update or amend this Offer at any time. Changes become effective upon publication on the website shapleysolutions.com.
